1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("User," "you," or "your") and MyLedgerMind ("MyLedgerMind," "we," "us," or "our"), governing your access to and use of the MyLedgerMind website and our AI-assisted bookkeeping service (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of Service
MyLedgerMind provides a software platform that uses artificial intelligence ("AI") to assist with bookkeeping and related tasks, including: ingesting and categorizing your transaction data (from bank statements, CSV files, and accounting software exports), reconciling accounts, and generating financial reports such as Profit & Loss statements, Balance Sheets, Cash Flow statements, and Trial Balances, delivered as PDF and Excel files.
MyLedgerMind is a technology platform only. MyLedgerMind is not a licensed certified public accountant (CPA), is not a public accounting firm, and does not provide accounting, tax, legal, or financial advice. Reports and categorization produced by the Service are generated by AI and are for your own record-keeping and convenience; you are responsible for reviewing and confirming their accuracy before relying on them for any purpose, including tax filing, lending, investment, or regulatory reporting.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is not directed to, and we do not knowingly permit use by, individuals under 18.
4. Account Registration and Security
You must provide accurate, current, and complete information when creating an account and must keep that information up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account, whether or not authorized by you. Notify us immediately of any unauthorized use of your account.
5. AI-Generated Output; No Guarantee of Accuracy
Please read this section carefully — it describes an important limitation of the Service.
The Service uses AI and machine learning models to categorize transactions, reconcile accounts, generate reports, and answer questions. AI-generated output can be incomplete, outdated, or incorrect, and the Service may mis-categorize a transaction, assign it to the wrong account, apply an incorrect amount, omit an entry, or produce a report that does not accurately reflect your financial records.
- You are solely responsible for reviewing and confirming any categorization, reconciliation, report, or other output generated by the Service before relying on it.
- You are solely responsible for the accuracy of the transaction data you upload or connect, and for the completeness of that data.
- MyLedgerMind does not guarantee that AI-generated output will be accurate, complete, or free of error, and disclaims liability for any consequence of relying on AI-generated output without independent verification.
- For matters affecting taxes, loans, investments, or legal compliance, you should always have your books and reports reviewed by a qualified professional, such as a licensed CPA.
6. Pricing and Payment
The Service is currently provided free of charge with no fees, no transaction limits, and no paywall. This free period may not last indefinitely.
If we introduce paid features in the future, the applicable fees and terms will be disclosed to you before you incur them, and any paid features will be clearly identified and separately agreed to before charges are incurred. Payments, if any, are processed by third-party payment processors; we do not store full payment card numbers on our servers. Any fees for future paid features will be non-refundable except as required by law or as expressly stated at the time of purchase.
7. Third-Party Services and Integrations
The Service may connect to third-party services — including financial institutions, accounting software, AI model providers, payment processors, and email/communication providers — to operate. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their acts, omissions, availability, security, or accuracy. We are not responsible for any data obtained from or provided to third-party services.
8. CPA Sharing
The Service allows you to share generated reports with a CPA or other professional of your choosing. You are solely responsible for selecting the recipient and for any information you choose to share. Sharing occurs only at your direction and with your authorization; we do not verify the identity or credentials of any recipient you designate. You are responsible for ensuring you have the right to share the underlying data and that the recipient is the intended party.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to violate any applicable law or regulation;
- Submit data you do not have the right to use, or financial data belonging to others without their authorization;
- Use the Service to commit fraud, misrepresentation, money laundering, or tax evasion;
- Attempt to reverse-engineer, decompile, or interfere with the Service's underlying models or infrastructure;
- Attempt to gain unauthorized access to other users' accounts or data;
- Use automated means to scrape, overload, or abuse the Service;
- Misrepresent AI-generated output as the work of a licensed accountant or other professional.
10. Intellectual Property
The Service, including its software, design, and content (excluding user-submitted content), is owned by MyLedgerMind or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted.
Your transaction data, uploaded documents, logos, and letterhead remain yours. You grant us a limited license to use them solely to provide the Service to you and as described in our Privacy Policy.
11. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUT AND REPORTS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AND ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CATEGORIZATION, RECONCILIATION, OR REPORT WILL BE ACCURATE OR COMPLETE. WE ARE NOT A LICENSED CPA AND PROVIDE NO ACCOUNTING, TAX, LEGAL, OR FINANCIAL ADVICE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYLEDGERMIND, ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR LOSS ARISING FROM INACCURATE OR INCOMPLETE BOOKKEEPING, REPORTS, TAX FILINGS, OR FINANCIAL DECISIONS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless MyLedgerMind and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) the data you upload or submit; or (e) any report, categorization, or financial statement you rely upon or share through the Service.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service and close your account at any time; see our Cancellation & Refund Policy for details on data export and deletion. Provisions that by their nature should survive termination (including Sections 11–16) will survive.
15. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully — it affects your legal rights. Except for claims that qualify for small claims court or claims for injunctive relief regarding intellectual property, you and MyLedgerMind agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding, individual arbitration administered under the rules of a recognized arbitration provider, rather than in court, and you and MyLedgerMind each waive the right to a jury trial and to participate in a class, collective, or representative action.
You may opt out of this arbitration agreement by notifying us in writing within 30 days of first accepting these Terms.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where preempted by federal law. For any dispute not subject to arbitration, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Texas.
17. Modifications to the Service and Terms
We may modify or discontinue the Service, in whole or in part, at any time. We may update these Terms from time to time; material changes will be notified through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18. Force Majeure
MyLedgerMind will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or third-party service outages (including AI model provider, financial institution, or payment processor outages).
19. Severability; Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
